Legal Agreement
Thank you for using the Infore “Virtual Vault” application. These Terms of Use (“Terms”) govern your use of the Site and constitute a binding agreement (“Agreement”) between you (“User”) and Infore, Inc. (“Infore,” “we,” or “our”).
By accessing or using the Site or Licensed Product, you agree to these Terms and confirm that you have the authority and capacity to enter into this Agreement. If you have any questions, contact us at info@inforesoftware.com.
License
Infore grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the software, content, and documentation (collectively, the “Licensed Product”) solely for your personal benefit, subject to these Terms. All rights not expressly granted remain with Infore.
Access and Account Security
- Infore may modify, suspend, or discontinue the Site or Licensed Product at any time without notice.
- You are responsible for ensuring your access to the Site and Licensed Product, including safeguarding login credentials.
- You must provide accurate, current, and complete registration information.
- Your account is personal; sharing access or credentials is prohibited.
- Notify Infore immediately of unauthorized use or security breaches.
- We may disable accounts at our discretion.
Proprietary Rights
The Site and Licensed Product are the exclusive property of Infore and its suppliers, protected by intellectual property laws.
You agree not to:
- Modify, copy, reverse engineer, decompile, or distribute the Licensed Product.
- Use it for commercial purposes, hosting, or resale.
- Allow third-party access or transfer rights.
User Obligations
You agree not to:
- Use the Licensed Product for unlawful, fraudulent, or harmful purposes.
- Impersonate others or misrepresent affiliations.
- Upload harmful, unauthorized, or infringing content.
- Interfere with Site operations or violate applicable laws.
Privacy & Data Protection
- Data Collection & Use: Infore may collect and process personal information you provide (such as name, email, account credentials, and usage data) for the purpose of operating, securing, and improving the Licensed Product.
- Confidentiality: Infore will treat all personal and sensitive data in accordance with applicable privacy and data protection laws, including GDPR (where applicable) and relevant U.S. state laws.
- Data Security: We implement reasonable administrative, technical, and physical safeguards to protect your information from unauthorized access, disclosure, alteration, or destruction.
- Data Sharing: Infore does not sell personal information. Data may be shared only with trusted third-party providers engaged to support the Licensed Product, subject to confidentiality obligations.
- User Rights: You may request access, correction, or deletion of your personal information by contacting info@inforesoftware.com. Depending on your jurisdiction, you may also have rights to restrict processing, object to certain uses, or request data portability.
- Data Retention: Personal information will be retained only as long as necessary to fulfill the purposes outlined in this Agreement, comply with legal obligations, or resolve disputes.
By using the Licensed Product, you consent to the collection, use, and processing of your information as described in this section.
Cookies & Tracking Technologies
- Use of Cookies: The Site may use cookies, web beacons, and similar tracking technologies to enhance user experience, remember preferences, and analyze usage.

The Licensed Product is provided “as is” and “as available” without warranties of any kind, express or implied. Infore does not guarantee uninterrupted access, error-free operation, or protection against harmful components.
Limitation of Liability
Infore and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or Licensed Product. Liability, if any, will not exceed the fees paid by you to Infore in the twelve (12) months preceding the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Infore, its affiliates, and partners against claims, damages, or expenses arising from your violation of these Terms or misuse of the Licensed Product.
Term and Termination
This Agreement remains effective until terminated. Infore may suspend or terminate your access immediately for any breach. Upon termination, you must stop using the Licensed Product and delete all copies in your possession. Certain provisions (e.g., Proprietary Rights, Privacy & Data Protection, Cookies & Tracking, Disclaimers, Limitation of Liability) will survive termination.
Miscellaneous
- This Agreement is the entire understanding between the parties, superseding prior agreements.
- Amendments must be in writing and signed by both parties.
- This Agreement is governed by the laws of California, USA, with disputes resolved through binding arbitration in California under AAA rules.
- If any provision is invalid, the remaining terms remain enforceable.
- No agency, partnership, or joint venture is created by this Agreement.
- You may not assign this Agreement without Infore’s consent. Infore may assign at its discretion.
Agreement and Amendments
By registering or using the Licensed Product, you accept these Terms. You may print and retain a copy for your records.
